Terms of Service
These Terms of Service govern your access to and use of OpposingTrade, including account creation, contest entry, wallet usage, trader profile participation, and all related platform features. By accessing or using OpposingTrade you agree to these Terms, our Privacy Policy, and our Contest Rules, all of which are incorporated by reference. Last updated: March 20, 2026.
1. Acceptance of Terms
By creating an account or using any part of OpposingTrade, you agree to be legally bound by these Terms of Service. If you do not agree, do not use the platform. OpposingTrade may update these Terms at any time; we will provide at least 14 days' advance notice of material changes via email or prominent platform notice, except where faster changes are required by law or emergency circumstances. Continued use after the effective date of any update constitutes your acceptance. The current version of these Terms is always posted at opposingtrade.com/terms.
2. Platform Description and Skill-Based Contests
OpposingTrade is a skill-based fantasy trading contest platform. You select publicly listed Traders to build a Lineup, pay an entry fee, and earn a score based on how those Traders perform according to OpposingTrade's scoring formula during a defined Contest window. Outcomes depend materially on the knowledge, judgment, and skill each user applies in selecting Traders and constructing Lineups. OpposingTrade is not a sportsbook, casino, lottery, gambling operator, pari-mutuel wagering platform, brokerage, investment adviser, commodity trading adviser, portfolio manager, or securities exchange. Participation requires genuine skill, and the same user may not consistently finish at the top of contests through luck alone.
3. Not Financial Advice — Important Disclaimer
Nothing on OpposingTrade — including Trader profiles, rankings, performance statistics, historical results, scoring formulas, draft percentages, activity feeds, leaderboard data, or any platform content — constitutes financial advice, investment advice, trading advice, legal advice, tax advice, or a recommendation to buy, sell, hold, replicate, or mirror any security, futures contract, cryptocurrency, currency pair, commodity, or other financial instrument. Trader performance data is used solely to score fantasy Contests. Users who also engage in live trading do so entirely independently and at their own risk. OpposingTrade is not registered with or regulated by the U.S. Securities and Exchange Commission, the Commodity Futures Trading Commission, FINRA, the NFA, or any financial regulatory authority. Content on OpposingTrade should never be relied upon as the basis for any investment or trading decision.
4. Eligibility Requirements
To enter real-money Contests you must: (a) be at least 18 years of age; (b) be a natural human individual and not a bot, automated agent, or script acting without contemporaneous human supervision; (c) be physically located in a jurisdiction where participation in skill-based paid fantasy contests of this type is lawful at the time of entry; and (d) not be an employee, officer, director, contractor, or immediate family member of OpposingTrade or its affiliates who has access to non-public platform information that could confer a material competitive advantage in Contests. Employees and contractors with access to pricing data, lineup submission rates, non-public scoring inputs, or system internals are prohibited from entering real-money Contests. OpposingTrade may require identity verification at any time and may void entries, withhold payouts, or close accounts for eligibility violations.
5. Geographic Restrictions
Real-money Contests are available only where skill-based paid fantasy contests are lawful. You are solely responsible for confirming that your participation is legal in your jurisdiction before entering. You may not enter a real-money Contest if you are physically located in or a resident of any of the following states or territories: Washington (Washington law generally prohibits internet gambling; knowingly transmitting or receiving gambling information over the internet is a Class C felony under RCW 9.46.240, except where state law expressly authorizes the activity), Idaho, Alabama, Hawaii, Montana, Nevada, or any other jurisdiction where paid skill-based fantasy contests are specifically prohibited or cannot be legally offered. This list may be updated as laws change; the current version controls. OpposingTrade does not represent that its geographic eligibility rules are the same as any other operator's rules. Users may not use VPNs, proxies, GPS spoofing, or any other method to circumvent geographic restrictions. Doing so will result in immediate entry voids, forfeiture of all prizes, and permanent account termination without refund. OpposingTrade may use IP geolocation, GPS verification, and other methods to verify your location. By submitting an entry you affirmatively represent that you are not physically located in a restricted jurisdiction at the time of entry. Availability of the platform in any region is not legal advice that participation is permitted in your specific location.
6. Account Registration and Security
You agree to provide accurate, current, and complete registration information and to keep that information updated. You are solely responsible for all activity conducted through your account, including all Contest entries and wallet transactions. You must immediately notify us at support@opposingtrade.com of any unauthorized access to or use of your account. OpposingTrade is not liable for losses arising from unauthorized account access caused by your failure to maintain the security of your credentials. You may not share your login credentials, transfer your account to another person, or operate more than one account unless OpposingTrade has explicitly authorized it in writing. Accounts registered with false information, or used in violation of these Terms, may be suspended or permanently closed with forfeiture of any balances.
7. Wallet, Deposits, Withdrawals, and Promotional Credits
Deposits are processed through Stripe, Inc. or other third-party payment processors. Your wallet balance represents ledger credits for use on the OpposingTrade platform and is not a bank deposit, is not FDIC-insured, does not earn interest, and is not protected by any government deposit insurance program. OpposingTrade maintains a clear accounting distinction between real-money funds (deposited cash) and promotional credits (bonuses, deposit matches, free-entry credits). Promotional credits cannot be withdrawn as cash; they may only be used to enter Contests and are subject to any playthrough or eligibility requirements disclosed at the time the promotion is offered. Prize winnings earned by entering a Contest with promotional credits may be withdrawable as cash subject to applicable playthrough requirements. Withdrawals of real-money funds are subject to identity verification (which may include submission of a W-9 or equivalent tax form), minimum withdrawal amounts, and processing windows posted in your account dashboard. OpposingTrade may withhold, freeze, or reverse any transaction when investigating suspected fraud, unauthorized access, chargebacks, technical errors, duplicate credits, contest irregularities, anti-money-laundering review, or legal holds. Displayed balances reflect the current state of our internal ledger and may be adjusted to reflect final settlement corrections or fraud investigations. Wallet balances may be forfeited after an extended period of account inactivity as specified in our wallet policy, subject to applicable unclaimed property laws.
8. Contest Entry and Lineup Submission
To enter a Contest, you must pay the posted entry fee (deducted from your wallet balance) and submit a valid Lineup before the Contest's lock time. All Lineups must satisfy the specific Lineup size, salary cap, eligibility, and entry-limit requirements for that Contest. Multiple entries per Contest may be permitted up to the per-Contest limit. Once a Contest locks, Lineups may not be edited except where OpposingTrade explicitly applies an operator correction due to a verified data error. You are responsible for submitting entries well before lock; OpposingTrade is not responsible for submission failures caused by your device issues, internet connectivity problems, or last-minute platform load. OpposingTrade may reject, void, or limit any entry at any time prior to lock for reasons including suspected fraud, ineligible participants, system errors, or eligibility violations, with applicable entry fee refunds.
9. Salary Cap and Dynamic Pricing System
Certain Contest formats use a dynamic salary cap system in which each Trader is assigned a salary value that may change between Contests based on recent performance scores, ownership concentration, scoring volatility, and other platform-defined factors. Salary values are determined by OpposingTrade's automated pricing engine and are subject to change between Contest windows. OpposingTrade does not guarantee that salary values will remain constant. A Lineup that becomes over-budget due to a salary change before lock must be resubmitted before lock or it will be rejected. Users are solely responsible for constructing valid Lineups that comply with current salary constraints at the time of submission.
10. Autonomous Contest Engine and AI-Generated Contests
OpposingTrade uses automated and AI-assisted systems to create, schedule, price, merge, modify, cancel, and settle Contests based on real-time market demand, fill rates, market session timing, risk parameters, and platform-defined templates. These systems may adjust entry fees, prize pool sizes, Contest formats, and payout structures dynamically. Contest formats may be generated from templates with AI-assisted parameter selection. Users agree that Contests created, modified, or settled by automated systems are valid and binding subject to these Terms and the applicable Contest Rules. OpposingTrade's automated systems operate subject to human oversight and administrative controls.
11. House Accounts and Seeded Entries
OpposingTrade may seed certain Contests with platform-controlled entries ('House Entries') to improve liquidity, ensure minimum fill thresholds, and provide a competitive field during periods of low demand. House Entries are disclosed in the Contest interface where required by applicable regulations. House Entries funded by OpposingTrade that finish in prize-paying positions will have their allocated prize amounts redistributed to the next eligible human participants or retained as overlay, increasing the effective prize pool for real users, unless Contest-specific rules expressly state otherwise. House Entry Lineups are constructed using only the same publicly available performance data and scoring inputs available to all users at the time of entry. OpposingTrade employees and contractors with access to non-public operational data, lineup submission rates, or internal pricing information are prohibited from entering Contests with personal accounts.
12. Scoring System
Contest scores are calculated from normalized Trader performance metrics recorded within the Contest's official window, using OpposingTrade's scoring formula. The formula may incorporate weighted components including normalized profit/loss, risk-adjusted return metrics (such as Sharpe ratio), win rate, consistency measures, and drawdown penalties. Normalization is computed relative to other Traders scored in the same Contest window. A Lineup's total score is the sum of its selected Traders' individual scores. Live or in-progress score displays are preliminary, subject to data feed latency, and do not constitute official results. OpposingTrade computes final scores from its official internal data records. OpposingTrade may recalculate and correct scores prior to final settlement to address material data errors.
13. Settlement, Finality, and Official Records
Contest settlement produces official final rankings and triggers payout calculations. Once a Contest is officially settled, results are final except where OpposingTrade identifies a material operational error requiring correction. Corrections may include score adjustments, payout reversals, entry voids, or prize pool redistributions. OpposingTrade's determination on all settlement matters is final and binding, subject to the dispute process described in these Terms and our Contest Rules. Users who believe a settlement error occurred must submit a written dispute to legal@opposingtrade.com within 72 hours of official settlement. Temporary display discrepancies, live feed delays, or draft percentages shown during a Contest do not override official settlement records.
14. Payouts, Taxes, and Required Withholding
Prize payouts are credited to your wallet balance following settlement and are subject to withdrawal procedures. Users are solely responsible for all applicable federal, state, and local income taxes on prize winnings. OpposingTrade may withhold and remit taxes as required by law, including IRS backup withholding on net winnings of $600 or more in a calendar year or other applicable thresholds. OpposingTrade may issue IRS Form 1099-MISC or other required tax documents for winnings meeting reportable thresholds. OpposingTrade may require you to complete a W-9 or equivalent tax certification form before releasing any prize payout. Failure to provide required tax information may result in mandatory withholding or delayed or forfeited payouts in accordance with applicable law. OpposingTrade's reporting obligations do not relieve you of your independent obligation to report all taxable winnings.
15. Trader Profiles and Revenue-Share Program
Public Traders listed on OpposingTrade may participate in a revenue-share program under which OpposingTrade distributes a portion of platform revenue to Traders whose profiles are drafted in Contests. Revenue-share participation and payment terms are governed by separate agreements between OpposingTrade and each participating Trader and may be modified or terminated at any time. The existence of a revenue-share arrangement does not create any employment, partnership, joint venture, investment advisory, broker-dealer, or fiduciary relationship between OpposingTrade and any Trader. Trader profile content, including performance data, bios, statistics, rankings, and social links, is maintained by OpposingTrade and may be edited, updated, or removed at any time for any reason including data accuracy, legal compliance, or operational necessity.
16. Prohibited Conduct
You may not: (a) use bots, scripts, scraping tools, or automated systems to enter Contests, manipulate scores, access the platform, or harvest data except via officially authorized APIs; (b) create or use multiple accounts to circumvent per-user entry limits or earn multiple bonuses; (c) collude with other users to manipulate Contest outcomes or share lineup information for competitive advantage; (d) share, sell, rent, or transfer account access to any other person; (e) use non-public information about Trader performance, platform internals, or contest parameters to gain an unfair advantage; (f) engage in fraud, unauthorized chargebacks, payment abuse, or money laundering; (g) reverse-engineer, decompile, or reproduce platform software, scoring algorithms, or data without authorization; (h) harass, threaten, impersonate, or abuse other users, Traders, or OpposingTrade personnel; (i) violate any applicable federal, state, or local law or regulation; or (j) assist, encourage, or facilitate any of the foregoing. Violations may result in immediate account suspension, permanent ban, prize forfeiture, civil liability, and referral to law enforcement.
17. Intellectual Property
All platform content, software, branding, design systems, scoring algorithms, contest mechanics, trade names, trademarks, and data presentations are owned by or licensed to OpposingTrade. You receive a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the platform solely for your personal, non-commercial participation in Contests. You may not reproduce, distribute, publicly display, create derivative works from, sell, or commercially exploit any platform content or intellectual property without prior written consent from OpposingTrade. All rights not expressly granted are reserved.
18. User-Submitted Content
By submitting any content to OpposingTrade — including Trader profile bios, avatars, websites, social links, descriptions, or support communications — you represent that you own or have all rights necessary to submit that content and that it does not violate any third-party intellectual property rights, privacy rights, or applicable law. You grant OpposingTrade a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and publicly display that content in connection with the platform. OpposingTrade may remove any user-submitted content at any time for any reason.
19. Third-Party Services
OpposingTrade integrates third-party services including payment processors (Stripe, Inc.), cloud infrastructure providers, analytics platforms, data vendors, identity verification services, and communication providers. Your use of those services is subject to their respective terms and privacy policies. OpposingTrade is not responsible for the acts, omissions, data accuracy, or failures of any third-party service. Stripe's terms of service govern payment processing; OpposingTrade does not store full payment card numbers or CVV codes.
20. Disclaimer of Warranties
THE PLATFORM IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OPPOSINGTRADE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TITLE, NON-INFRINGEMENT, UNINTERRUPTED ACCESS, FREEDOM FROM VIRUSES, AND ERROR-FREE OPERATION. OPPOSINGTRADE DOES NOT WARRANT THAT TRADER PERFORMANCE DATA, CONTEST SCORES, OR LEADERBOARD INFORMATION IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE. NO ORAL OR WRITTEN COMMUNICATION FROM OPPOSINGTRADE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
21. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OPPOSINGTRADE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL NET ENTRY FEES YOU PAID TO OPPOSINGTRADE IN THE 90 DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100). IN NO EVENT SHALL OPPOSINGTRADE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF OPPOSINGTRADE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY; IN SUCH JURISDICTIONS THE ABOVE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
22. Indemnification
You agree to indemnify, defend, and hold harmless OpposingTrade and its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, and successors from and against any and all third-party claims, demands, damages, losses, liabilities, fines, penalties, judgments, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your access to or use of the platform; (b) your violation of these Terms, our Privacy Policy, or our Contest Rules; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights; or (e) any dispute between you and another user, Trader, or third party. OpposingTrade reserves the right to assume exclusive control of any matter subject to indemnification at your expense.
23. Force Majeure
OpposingTrade is not liable for any delay, failure, or interruption in service, contest settlement, data processing, or payout distribution caused by events beyond our reasonable control, including acts of God, natural disasters, cyberattacks, distributed denial-of-service attacks, third-party data provider outages or failures, payment processor failures, telecommunications or internet disruptions, power outages, regulatory orders, government actions, market closures, exchange halts, labor disputes, or any other event that makes performance commercially impracticable. In such events, OpposingTrade may cancel, postpone, extend, merge, or refund affected Contests in its sole discretion without liability.
24. Responsible Gaming
OpposingTrade is committed to responsible gaming and complies with applicable responsible gaming requirements. You should participate only with funds you can afford to lose, set personal spending and entry limits, and take regular breaks. OpposingTrade offers the following tools: (a) self-exclusion — contact support@opposingtrade.com to exclude yourself from all real-money Contests for a defined period or permanently; self-exclusion requests are honored within one business day and OpposingTrade will not market to self-excluded users; (b) deposit limits — set daily, weekly, or monthly deposit caps through your account settings where available; (c) entry-fee limits and session time reminders where available in account settings. If you or someone you know may have a gaming problem: New York residents call or text 1-877-8-HOPENY (1-877-846-7369), or visit nyproblemgambling.org (free, confidential, 24/7). All users may also contact the National Problem Gambling Helpline at 1-800-522-4700 or visit ncpgambling.org. OpposingTrade will not market or send promotional communications to users who have self-excluded.
25. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any dispute not subject to binding arbitration under Section 26 shall be brought exclusively in the state or federal courts located in Ulster County, New York. You irrevocably consent to personal jurisdiction and venue in those courts and waive any objection to inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
26. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Except for: (a) disputes concerning intellectual property rights; (b) requests for emergency injunctive or equitable relief; and (c) claims that qualify for small claims court in the jurisdiction where you reside — any Dispute arising out of or relating to these Terms, the platform, or your relationship with OpposingTrade shall be resolved exclusively through final and binding individual arbitration administered by JAMS under its then-current Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in New Paltz, New York, or remotely by video or telephone if both parties agree. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Where 25 or more claimants file similar arbitration demands against OpposingTrade within a 90-day period, JAMS may apply its mass arbitration protocols, including bellwether procedures in which a representative set of cases is resolved first; any resulting precedent may apply to remaining cases. OpposingTrade will pay JAMS filing fees for claims under $10,000 if you are the prevailing party. You may opt out of this arbitration agreement by sending a written opt-out notice to legal@opposingtrade.com within 30 days of the date you first create your account. Your opt-out notice must include your full name, email address, and a statement that you opt out of arbitration. If you opt out, disputes shall be litigated in the courts specified in Section 25.
27. Class Action Waiver
YOU AND OPPOSINGTRADE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. If this class action waiver is found unenforceable as to a particular claim, that claim may proceed in court but may not be consolidated with other claims or brought as a class, collective, or representative action. All other claims subject to arbitration remain subject to arbitration.
28. Changes to Terms
OpposingTrade may modify these Terms at any time. For material changes, we will provide at least 14 days' advance notice by email to your registered address and/or by prominent notice on the platform. Changes required by law, regulatory order, or emergency operational necessity may take effect immediately with the maximum notice practicable under the circumstances. The effective date of the current version is posted at the top of these Terms. If you do not agree to revised Terms, you must stop using the platform before the effective date and contact support@opposingtrade.com to request withdrawal of any available wallet balance.
29. Termination
OpposingTrade may suspend or permanently terminate your account at any time, with or without notice, for violations of these Terms, suspected fraud or abuse, extended inactivity, legal requirements, or operational necessity. You may close your account at any time by contacting support@opposingtrade.com. Upon termination, all pending Contest entries will be handled per our Contest Rules (including applicable refunds), and any remaining wallet balance will be processed for withdrawal per our withdrawal procedures, subject to any fraud holds or legal obligations. The following sections survive termination: Intellectual Property, User Content, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, Class Action Waiver, and any other provisions that by their nature should survive.
30. Entire Agreement and Severability
These Terms of Service, together with the Privacy Policy and Contest Rules, constitute the entire agreement between you and OpposingTrade with respect to the subject matter herein and supersede all prior and contemporaneous agreements, representations, and understandings. If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. OpposingTrade's failure to enforce any right or provision does not constitute a waiver of that right or provision.
